These Terms of Use apply to your use of Xtalks Life Sciences United, also known as XLSU, including any XLSU pages, content, forms, listings, profiles, features or related materials made available by Honeycomb Worldwide Inc. through Xtalks.com, its subdomains or related Xtalks properties (the “Site”).

The Site is owned and operated by Honeycomb Worldwide Inc. (“Honeycomb,” “we,” “us” or “our”).

Please read these Terms of Use together with our Privacy Notice, which explains how we collect and use personal information.

By using the Site, submitting information to XLSU or participating in XLSU, you agree to be bound by these Terms of Use and accept our Privacy Notice. We may update these Terms of Use or our Privacy Notice from time to time. Your continued use of the Site after updates are posted indicates your acceptance of the revised terms.

About XLSU

XLSU is an Xtalks initiative designed to support, showcase and connect life science organizations, including associations, societies, foundations, research networks, universities, patient advocacy groups and other member-based or mission-driven organizations.

The Site is provided for general informational, community, promotional and marketing purposes only.

Participation in XLSU does not create a partnership, joint venture, agency relationship, employment relationship or formal endorsement between Honeycomb and any participating organization unless separately agreed in writing.

Content on the Site

While we take care to provide useful and accurate information, we do not guarantee that all information on the Site is complete, current or error-free.

Information about participating organizations, programs, missions, events, initiatives, resources, membership opportunities, research areas, advocacy activities or related opportunities may change over time. You should verify important information directly with the relevant organization or official source before relying on it.

No Professional Advice

The information on the Site is not business, legal, medical, regulatory, scientific, clinical, financial, fundraising, investment or professional advice and should not be relied on as such.

Participation and Eligibility

XLSU is intended for organizations and professional audiences in the life sciences sector.

We may review participation requests and determine eligibility for XLSU at our discretion. We may accept, decline, suspend or remove any organization, profile, submission or listing at any time.

Participation in XLSU is not guaranteed. We may also update, change, pause or discontinue XLSU, or any part of it, at any time.

Organization Profiles and Submitted Information

If you submit information to XLSU, including through a participation form, contact form, profile form, content submission, correction request or other submission, you agree that the information you provide is true, accurate and complete to the best of your knowledge.

You also confirm that you have the right and authority to provide the information on behalf of yourself or your organization and that doing so does not infringe the rights of any other person or organization.

Submitted information may include organization names, logos, descriptions, website links, images, mission statements, program details, event information, areas of focus, contact information and other materials you choose to provide.

We reserve the right to review, edit, format, shorten, reject, remove or decline to publish submitted information or content at any time.

Permission to Use Submitted Materials

By submitting organization information, logos, images, descriptions, links, content or other materials to XLSU, you grant Honeycomb a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, distribute, edit, format and promote those materials in connection with XLSU, Xtalks and related promotional, editorial or marketing activities.

This may include use on Xtalks websites, XLSU pages, email communications, newsletters, social media, digital publications, promotional materials and related content.

You confirm that you have the rights, permissions and approvals needed to grant this license.

If you would like us to remove or update submitted organization materials, contact us at [email protected]. We will review reasonable requests, although some materials may remain in archived, cached, backup or previously distributed formats.

Intellectual Property

All rights to the content on the Site are reserved by Honeycomb unless otherwise stated.

No part of the Site may be reproduced, stored in a retrieval system, copied, scraped, transmitted, republished, modified or distributed in any form without our prior written consent.

We grant you a limited license to access and use the Site and its related content for lawful, personal, professional and informational purposes, without reproducing the content elsewhere.

All registered and unregistered trademarks, trade names, logos and other marks appearing on the Site are the property of their respective owners.

You agree that the words “Honeycomb Worldwide Inc.,” “Xtalks,” “Xtalks Life Sciences United,” “XLSU” and any related names, marks or variations are trade names or trademarks owned by or licensed to Honeycomb. You may not use those names or variations in a way that is likely to cause confusion with Honeycomb, Xtalks, XLSU or their services.

Third-Party Organizations, Materials and Links

The Site may include references to third-party organizations, associations, societies, foundations, research networks, universities, patient advocacy groups, companies, sponsors, advertisers or other external parties.

Opinions, claims, descriptions, resources, events or materials provided by third parties are not necessarily those of Honeycomb.

We do not endorse any third-party organization, sponsor, advertiser, product, service, program, mission, event or opportunity merely because it appears on the Site or participates in XLSU.

The Site may include links to third-party websites. We are not responsible for the functionality of those links or the content, accuracy, policies or practices of third-party websites.

Unauthorized Use

You agree not to use the Site in any way that is unlawful, harmful, misleading or disruptive.

You agree not to:

• Impersonate another person or organization
• Misrepresent your identity, employer, affiliation or authority
• Submit content that is unlawful, threatening, abusive, libelous, defamatory, obscene or otherwise inappropriate
• Submit content that infringes the intellectual property, privacy, publicity or other rights of another person or organization
• Post or transmit unauthorized commercial communications
• Collect information from the Site or its users by automated means
• Scrape, crawl, harvest, copy or extract Site content without our written consent
• Attempt to interfere with the security, availability or operation of the Site
• Use the Site in a way that infringes the rights of Honeycomb or any third party

Email Communications

If you sign up to receive XLSU or Xtalks emails, your subscription and personal information will be handled in accordance with our Privacy Notice.

You may unsubscribe from marketing emails at any time using the unsubscribe link included in our emails.

Minors

The Site is intended for organizations and professional audiences in the life sciences sector. It is not targeted toward children and is not intended for use by children. Minors should not submit information through the Site.

No Warranty

We do not warrant that the Site will be secure, uninterrupted, error-free or available at all times.

The Site and its content are provided on an “as is” and “as available” basis.

Limitation of Liability

While every care is taken to provide useful information, Honeycomb disclaims liability for any loss or damage arising from errors, omissions, inaccuracies, delays, interruptions or reliance on information available through the Site.

We may also remove or update content, listings, profiles, forms or features at any time.

Governing Law and Severability

These Terms of Use are governed by and construed in accordance with the laws of Ontario and the federal laws of Canada applicable therein.

If any provision, or portion of a provision, is found to be unenforceable, the remaining provisions will continue in full force and effect.
